Count-n-Control Terms

Your use of Count-n-Control is subject to the terms of this legal agreement between you and Count-n-Control. These terms are a legally binding agreement. In order to use the Count-n-Control Service, you must first agree to these terms. You may not use the Services if you do not accept these terms. You accept the terms by registering to use the Count-n-Control site/services or accepting the invitation to use Count-n-Control by an existing user.

You may not use Count-n-Control or accept these terms if you are not of legal age to form a binding contract with Count-n-Control.

Count-n-Control gives you non-exclusive, worldwide, royalty-free, non-assignable licence to use Count-n-Control, in the manner permitted by the terms of this agreement.

You acknowledge and agree that Count-n-Control owns all legal right, title and interest in and to Count-n-Control, including any intellectual property rights which subsist in Count-n-Control.

You agree that Count-n-Count may display advertisements and promotions. These advertisements may be targeted to the content of information stored in Count-n-Control.

You understand that Count-n-Control is not responsible for the accuracy and/or content of any advertisements displayed.

You acknowledge and agree that the Count-n-Control service may change from time to time without prior notice to you.

You may stop using the Count-n-Control at any time. You do not need to specifically inform Count-n-Control when you stop using the Service. You acknowledge and agree that Count-n-Control may stop (permanently or temporarily) providing the Services (or any features within the Services), without prior notice.

You acknowledge and agree that if Count-n-Control disables access to your account, you may be prevented from accessing the Services, your account details or any files or other content which is contained in your account.

You agree that any registration information you give to Count-n-Control will always be accurate and up to date.

You agree to use the Services only for purposes that are permitted.

You agree that you will not do anything that interferes with or disrupts Count-n-Control (or the servers and networks which are connected to the Count-n-Control).

You agree that you will not reproduce, duplicate, copy, sell, trade or resell the Count-n-Control Services for any purpose.

You agree that you are solely responsible for (and that Count-n-Control has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which Count-n-Control may suffer) of any such breach.

You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access Count-n-Control and you agree that you will be solely responsible to Count-n-Control for all activities that occur under your account.

You understand that all information that you may have access to as part of, or through your use of, Count-n-Control are the sole responsibility of the person from which such content originated. Count-n-Control reserves the right, but has no obligation to review, modify or remove any or all Content.

You may not copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract Count-n-Control source code or any part thereof.

Count-n-Control acknowledges and agrees that it obtains no right, title or interest from you under these terms in or to any Content that you enter, submit or save in Count-n-Control. You retain all rights you already hold in Content which you enter, submit or save in Count-n-Control.

Termination of your legal agreement with Count-n-Control may be done by deleting all data and/or sending an email to paulc@countncontrol.com. Count-n-Control may terminate this legal agreement if:

• you have breached these terms
• Count-n-Control is required to do so by law
• Count-n-Control is terminating the service provided for any reason

You understand and agree that your use of Count-n-Control is at your risk. Count-n-Control does not provide any warrant in any respect, including:

• Information you enter, submit or save in Count-n-Control may be lost, destroyed or damaged for any reason
• Information presented by Count-n-Control may be inaccurate or erroneous
• Information you enter, submit or save in Count-n-Control may be stolen, altered or publicly displayed
• Access to Count-n-Control may be unavailable for extended periods

You understand and agree that Count-n-Control is not liable for:

• any damages of any type that may be incurred by you, including loss of profit, data, services or any other loss.
• Any reliance you place on the accuracy of the data provided by Count-n-Control
• Any interruption to or termination of the Count-n-Control service

You understand that Count-n-Control may change theses terms from time to time, without notice to you. Your continued use of Count-n-Control is deemed as agreement to any changes to these terms.

You agree that if Count-n-Control does not exercise or enforce any legal right or remedy which is contained in the Terms or to which it is entitled, this will not be taken to be a formal waiver of the right detailed in these terms.
